China Legal and Compliance Leader

Objective
Proactively work with regional management and plant management on eliminating /reducing legal risks of Nemak businesses and operations, manage full scope and specific compliance risks, as well as promote & implement excellent compliance systems and environment within the region.
Main Responsibilities
- Run routine legal review procedure for Nemak China entities & Evaluate legal risks
1)Review or set up the review mechanism for all contracts include sales & purchase contracts;
2)Write or review all legal documentations released to outside parties;
3)Keep contracts and all other legal documents for the China entities, and update their tracking record, highlight in time the proactive actions needed;
4)Manage corporate secretary matters, board/shareholder resolution, certificates, company chops, etc.;
5)Periodically work with finance and management on evaluating the legal exposure covering full scope of regional operation and business.

1)Represent Nemak China's legal entities in law suits;
2)Represent Nemak on negotiating disputes with related parties;
3)Proactively help Nemak avoiding law suits. (Covers all the legal activities such 1) customers, 2)suppliers, 3) M&A, 4)Tax and customs, 5)Employment)
3. Support operation/business leaders on key decisions
1)Provide in-time, insightful professional analysis on related operation and business decisions;
2)Be involved in protocols related to labor relations and labor decisions;
3)Support EHS and construction decisions; 4)Channel external legal experts with regional management to provide solid and high-flier advices on imminent challenges. - Manage overall and specific compliance risks related to all laws, regulations include EHS and trade
1)Take appropriate steps to design, implement, or modify compliance checklist to minimize and mitigate compliance risk and stay current with local and international laws;
2)Run the periodical compliance risk assessment/audit and gap analysis protocol to all key areas in Nemak China Entities;
3)Lead periodical review on specific areas, not limited to contracts;
4)Hold periodical meeting with the management on potential compliance issues and solutions;
5)Oversee the penalty cases from authorities;
6)Monitor new laws, rules and regulations relevant to Nemak China Entities. - Promote compliance environment within the region
1)Receive compliance from transparency helpline, or other channels.
2)Run and report compliance investigation upon receiving special reports.
3)Provide professional advice to internal functions regarding compliance issues, thereby driving a completely compliant culture.
4)Develop customized, interactive education and training programs for particular business function or categories of employees tailored to local laws, regional need, trend analysis and risk assessment.
5)Advise HR in developing and implementing compliance content for new employee orientation programs in Nemak China Entities.
6) Assist in the development, drafting and implementation of compliance policies and procedures required in China region.Cope with law suits against Nemak China entities
